These Terms of Service describe the rules for using Subul AI, a B2B software platform that businesses use to run automated customer engagement workflows integrated with Meta Platforms, Inc. APIs (such as the WhatsApp Business Platform).
Please read them together with our Privacy Policy and our Data Deletion instructions.
1Agreement to These Terms
These Terms of Service ("Terms") govern access to and use of the Subul AI platform, dashboard, APIs, and related services (collectively, the "Service") provided by Subul AI, operated by سبل السلام التقنية للبرمجة الحاسوبية ("Subul AI", "we", "us", or "our").
By creating an account, accessing the dashboard, or otherwise using the Service, you agree to these Terms on behalf of yourself and, where applicable, the business or organization you represent. If you do not agree, do not use the Service. If a separate written subscription agreement or order form exists between Subul AI and your organization, that agreement prevails over these Terms to the extent of any conflict.
2Definitions
- Client: The business, service provider, or enterprise that subscribes to the Service and administers a Subul AI workspace.
- Authorized User: An individual (such as a staff member or agent) granted access to the Client’s workspace by the Client.
- End User: A customer or contact of the Client who communicates with the Client through messaging channels connected to the Service.
- Client Data: All data submitted to or processed through the Service on behalf of the Client, including End User contact details, message content, scheduling, and operational data.
- Meta Platforms: Meta Platforms, Inc. and its affiliates, including the WhatsApp Business Platform and related APIs.
3Our Role: Technology Provider
Subul AI is a technology provider. We supply software that enables Clients to orchestrate automated customer communication workflows (such as booking confirmations, reminders, notifications, and support conversations) over channels including the WhatsApp Business Platform.
The Client, not Subul AI, owns and controls its relationships with its End Users. The Client determines what messages are sent, to whom, and for what purpose. Subul AI is not a party to any transaction, appointment, service, or communication between a Client and its End Users, and is not responsible for the Client’s products, services, advice, or conduct.
With respect to Client Data, the Client acts as the data controller and Subul AI acts as a data processor, as described in our Privacy Policy.
4Accounts and Eligibility
The Service is intended for business use only and may not be used by consumers for personal purposes. You must be at least 18 years old and authorized to bind your organization to these Terms.
- Provide accurate, current, and complete registration information, and keep it up to date.
- Keep credentials confidential. Each Authorized User must use their own account; shared logins are not permitted.
- You are responsible for all activity under your workspace and Authorized User accounts.
- Notify us promptly at [email protected] of any unauthorized access or suspected security incident.
5Client Responsibilities and Messaging Compliance
The Client is solely responsible for its use of the Service and for all Client Data. In particular, the Client must:
- Obtain and maintain all consents and opt-ins legally required to contact End Users through the connected channels, including consent to receive automated messages on WhatsApp, before initiating messaging.
- Honor opt-out requests promptly. When an End User opts out (for example by replying "STOP"), the Client must not instruct further automated messaging to that End User.
- Comply with the WhatsApp Business Messaging Policy, Meta’s Business Terms of Service, Platform Terms, and Developer Policies, and any other applicable channel policies, as updated by Meta from time to time.
- Comply with all applicable laws, including data protection, consumer protection, telecommunications, and anti-spam laws in each jurisdiction where its End Users are located.
- Ensure the accuracy and lawfulness of all content, templates, knowledge-base materials, and instructions it configures in the Service.
6Acceptable Use
You must not, and must not permit anyone else to:
- Use the Service to send unsolicited, deceptive, fraudulent, harassing, defamatory, or unlawful messages, or content that infringes the rights of others.
- Use the Service for emergency communications or in any context where a failure or delay of messaging could result in death, personal injury, or severe damage.
- Reverse engineer, decompile, copy, resell, sublicense, or provide the Service to third parties except as expressly permitted in writing.
- Probe, scan, or test the vulnerability of the Service, bypass authentication or usage limits, or interfere with its operation.
- Use the Service to build a competing product, or use automated scraping to extract data you do not own.
- Upload malicious code or use the Service in violation of Meta’s policies or any third-party platform terms.
7Third-Party Platforms and Services
The Service depends on third-party platforms and providers, including Meta Platforms (WhatsApp Business Platform) for message delivery and third-party AI and infrastructure providers for processing. Your use of those platforms is governed by their own terms and policies, and your End Users’ use of WhatsApp is governed by WhatsApp’s own terms and privacy policy.
We do not control third-party platforms. Subul AI is not responsible for their availability, pricing changes, policy changes, account restrictions, or actions (including suspension of a Client’s WhatsApp Business Account by Meta), and such events do not constitute a breach of these Terms by Subul AI.
8Automated and AI-Generated Content
The Service includes automated workflows and AI-assisted features that classify messages and generate suggested or automated replies. AI-generated output may contain errors or inaccuracies.
The Client is responsible for configuring, reviewing, and supervising automated flows and AI behavior, including its knowledge-base content, and for any decisions or communications made using the Service. The Service provides communication tooling only; it does not provide professional, medical, legal, or financial advice, and automated replies must not be relied on as such.
9Fees and Payment
Access to the Service is provided under the subscription plan, order form, or written agreement agreed with the Client, which sets out fees, billing cycles, and usage allowances. Unless stated otherwise there, fees are payable in advance, non-refundable, and exclusive of taxes and of third-party charges (such as Meta’s per-conversation WhatsApp fees, which are the Client’s responsibility).
We may suspend the Service for accounts with overdue amounts after reasonable notice.
10Data Protection
Our collection and processing of personal data is described in our Privacy Policy. We process Client Data only to provide the Service, under the Client’s instructions, and we apply appropriate technical and organizational security measures.
The Client is responsible for the lawfulness of the Client Data it processes through the Service, including having a lawful basis to share End User data with us for processing. A data processing agreement is available on request.
11Intellectual Property
Subul AI and its licensors own all rights in the Service, including software, design, and documentation. We grant the Client a limited, non-exclusive, non-transferable right to use the Service during the subscription term for its internal business purposes.
The Client retains all rights in Client Data. The Client grants us a limited license to host, process, and transmit Client Data solely to provide and secure the Service. If you provide feedback or suggestions, we may use them without restriction or obligation.
12Confidentiality
Each party will protect the other’s non-public information disclosed in connection with the Service with at least reasonable care, use it only to perform under these Terms, and not disclose it to third parties except to employees, advisors, and subprocessors bound by confidentiality obligations, or where disclosure is required by law.
13Availability and Changes to the Service
We work to keep the Service available and performant, but the Service is provided without a guaranteed uptime level unless agreed in writing. Maintenance, updates, and factors outside our control (including third-party platforms) may cause interruptions.
We may improve, modify, or discontinue features of the Service. If we materially reduce the core functionality of a paid subscription, the Client may terminate the affected subscription and receive a pro-rata refund of prepaid, unused fees for it.
14Term, Suspension, and Termination
These Terms apply for as long as the Client has an active account or subscription. Either party may terminate for material breach not cured within 30 days of written notice.
We may suspend or restrict access immediately where reasonably necessary: for security reasons, to comply with law or a platform requirement (including action required by Meta), for non-payment, or where use violates Section 5 or 6.
Upon termination, access ends and the Client may request an export of its Client Data within 30 days, after which we will delete Client Data as described in our Privacy Policy and Data Deletion page, except where retention is required by law.
15Disclaimers
Except as expressly stated in these Terms or required by law, the Service is provided "as is" and "as available", and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that messages will be delivered, or that AI-generated content will be accurate or complete.
16Limitation of Liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill; and (b) each party’s total aggregate liability arising out of or relating to the Service is limited to the fees paid or payable by the Client to Subul AI in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or willful misconduct.
17Indemnification
The Client will defend and indemnify Subul AI against third-party claims, fines, and losses arising from: (a) Client Data or content the Client configures in the Service; (b) the Client’s messaging to End Users, including failure to obtain required consents or honor opt-outs; or (c) the Client’s breach of Sections 5, 6, or 10 or of applicable law.
18Governing Law and Disputes
These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict-of-laws rules. The courts of Amman, Jordan have exclusive jurisdiction over disputes arising from these Terms or the Service, unless a mandatory law in the Client’s jurisdiction provides otherwise or the parties have agreed to another forum in writing.
19Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated revision date, and where appropriate we will notify Clients through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
